A model set of articles of association is provided by the government. This model set is called Table A after the name of the schedule in which it appears in the regulation. It is common for companies to either adopt the model set of articles of association, or to tailor them to their specific needs by using them with a few amendments.
Under the new law, the Companies Act 2006, the role of the articles of association will change somewhat. These changes are expected to take effect from October 2008. These changes will see a new model set of articles which will be the single constitutional document of United Kingdom companies, which will effectively subsume the role currently performed by the memorandum of association.
The set of articles of association supplied to our customers by Coddan consists of a modified version of the Table A set.
