Although not a legal requirement, a company can pass what are called elective resolutions which are agreements to dispense with certain procedural formalities. The types of procedural formalities which companies often decide to dispense with include: -

• The submission of accounts and reports to the general meeting;
• The holding of an annual general meeting;
• The annual appointment of auditors.
