Although not a legal requirement, a company can pass what are called elective resolutions which are agreements to dispense with certain procedural formalities. The types of procedural formalities which companies often decide to dispense with include:

• the submission of accounts and reports to the general meeting
• the holding of an annual general meeting
• the annual appointment of auditors
