The Minimum Requirement For Officers Within Your Company: Laws Regarding Secretaries And Directors

 
Coddan's quick, easy, and affordable online company registration system has been developed to cover all your business requirements, with your candidates as the first officers of your company. To register a Private Limited Company in Scotland you need to appoint at least person who will act as company director and a shareholder. Under new Companies Act 2006 appointment of the company Secretary is no longer required by law, yet Coddan strongly recommend its clients to keep the position of the company secretary in order to maintain the corporate structure. Only public companies are required to have a secretary. The only time a secretary is in fact required in a private limited company is when it has been included in the articles of association. It is adviseable for people who are starting up their own businesses and are thinking of including a secretary to be aware of the general duties of the secretary: The tasks and duties undertaken by the secretary are usually administrative, and include the maintenance of statutory rights, providing members and directors with information of any meetings. They are often expected to deliver company documents to Companies House and supply a copy of accounts to members of the company. The secretary should keep records and the minutes of the meetings conducted, and make the files readily available to anyone who may need to inspect them. They will also be needed to authenticate their company's annual accounts.

You need at least one person to form a private limited company. If there is only one director, and that director is a natural person in your company, then that director can also act as the secretary. Appointment of the company secretary is no longer needed if you are familiar with the secretaries' duties and responsibilities. The directors and secretary of your company can also be shareholders.

There are only a few restrictions that prevent someone from becoming a director. If a person has been disqualified from being a company director previously, then they are unable to become a director of a new company unless that person has been given permission by a court. A person cannot be a director if they have filed for bankruptcy, unless they have been given an order by a court. And lastly, it is a legal requirement that the director of a company must be at least 16 years old.

It's adviseable that at least one of the directors be a physical person. Corporate directorships are no longer permitted. In accordance with the Companies Act 2006, there are no restrictions on any or all of the members and shareholders being from overseas, or outside of Scotland in terms of residency, domicile, or citizenship, but this proposition may be subject to any applicable foreign investment rules.

When Your Company Will Be Registered

 
It usually takes 4-6 hours to form a limited company from the moment your application and payment are received by Coddan. We will send your application directly to Companies House allowing for the quickest possible registration. So in theory, if you place an order before 11 a.m (GMT) on a weekday, your company may be registered before the end of the day providing there are no mistakes in the form or problems with the proposed company name. This is not a general rule as some registrations take slightly longer. We estimate that companies are usually registered within 24hours but due to a number of circumstances, it can take significantly longer.

If there is an urgency to register your business on the same day, we are able to provide a guaranteed same-day formation for an extra fee. This service guarantees formation on the same day you place the order and make the payment. In order for this service to be applicable, orders need to be placed before 1:30 pm (GMT) on a weekday, and your form must contain no errors or omissions.

The Formation Of Your Company Name

About The Registered Office Address

Your company must have a registered office address within Scotland, though the location of the office will depend on the place of your company's registration. This is the official address of your company and will be on the public record as such. Companies House, HMRC, and other authorities will use the registered office address of your company to send official documents, and they will assume that the company directors have received such documents. Your company must hold its official company documents at its registered office address including the register of shareholders, and its constitutional documents. Because people have the right to visit your office to see these documents, your registered office address must be a physical address; it can't be a post office box address.

Coddan are able to supply a prestigious address to be used as your company's registered office address, and we will forward all your company's mail to you. Businesses throughout Scotland have found this particularly useful – especially those being run by a sole director from home that want a more elite registered address to be displayed on the public records. Companies owned by residents overseas still need a local registered office address.

The use of our registered office address service is annually charged and includes mail forwarding of official mail only, which includes mail from Companies House and HMRC. This does not include the forwarding of general business mail. So long as you maintain a registered office within the Scotland, you can conduct your business from anywhere in the world: you do not have to run your business from your registered office address. The Company Seal

 
There are no legal requirements to have a company seal but there may be times when one will be beneficial to you. Many contracts may require only a signature, while some also need the attachment of the seal to the document. The company seal is also needed in any contract that is required to be evidenced by a deed. The Companies Act 2006 allows companies to dispense with the use of their seal, by being signed as a deed by two directors or a director and the secretary, or, by a director and a witness.

The seal is the signature of your company, and the directions of its use can be found in the articles of association. It is usual for the seal to be witnessed by a director or a secretary, and for details of each document to which the seal is affixed to be entered in a Register of Seals, which is subsequently brought to a board meeting. This procedure enables the seal to be used between board meetings, but subsequently grants the authority of the whole board to its use. The chairman should sign below the most recent item in the register. If items are numbered, authority can be evidenced by a minute such as this draft. When conducting business overseas, or entering into contracts with overseas customers, or foreign lawyers, local regulations may require that your company applies its seal to legal documents, contracts, or lease agreement.

Following the introduction of the 2007 Anti Money Laundering Regulations (MLR) it is now a legal requirement that all organisations offering company formation and trustee administration services to be registered with HM Customs & Excise and to have an MLR registration number. Coddan is registered with HM Customs & Excise and received the MLR registration number: 12298927. This means that Coddan has passed the fit and proper test and has the confirmation that we have been effectively registered for MLR.

It is important to remember that when applying for a registered office address and/or nominee services for your Scottish company or offshore companies incorporation service, Coddan requires the following due diligence records from each company director/shareholder/beneficiary: -
  • Certified proof of ID;
  • Certified proof of address;
  • Declaration of the beneficiary owner (to be supplied by email);

A ready-made company is a public or private limited company that has already been incorporated as a general commercial company and is ready to start trading immediately. A shelf company or aged company is a company that has had no business activity; it was created and put on our shelf to age. This company is then later usually sold to someone who would prefer to have an aged firm rather than a new one.

Ready-made, off-the-shelf companies come with memorandum and articles of association, and a certificate of incorporation; they are registered with a nominee director, nominee secretary, and a nominee shareholder, as well as a registered office address. We are able to reregister a shelved company with the details of your director, secretary and shareholder as well as your registered office address for free. Or we can continue to provide our nominees and registered address for an additional fixed annual charge.

Readymade companies are always more expensive than the newly registered business legal entities. Depending on the type of service that your company requires from the bank will determine the cost of our bank introduction service, and upon which bank you request to be introduced to. Coddan has built up prestigious professional relationships with banks throughout the world and have signed numerous contracts between ourselves and Scotland-based banks. Coddan will be unwilling to jeopardise these relationships and therefore must be satisfied that your Scottish or offshore company plans to adhere to bookkeeping, annual returns and annual reports before we agree to provide this service.

To open a bank account you will need to provide certain information including: -
  • Your name, contact and living details;
  • Your current company or partnership details;
  • Details of any bank accounts you already have;
  • Details of your income and outgoings.

Should your bank introduction application be successful, your bank account will be opened, and your debit and credit cards will be sent to you by the bank along with information about handling and operating your account.

Scottish residents only pay £50.00 for the bank introduction service, while non-UK based clients pay £250.00. Our fees are slightly more expensive for this service because we act as your personal advisor. Our introduction fee also covers an initial consultation and the appointment with the bank officer who will subsequently open the checking account for your Scotland-based or offshore company within one business day.

Coddan can also provide you with the UK bank introduction service for companies which were not registered in Scotland, considering that your company can confirm to the bank why your Scottish account is essential for the business. The cost of this service will depend on bank and work involved. The minimum cost of the service is from £400.00.

It is possible to open specific kinds of bank accounts by distance without physically going to the bank. However, as this is not our field of practice, we are hesitant to provide distance banking introductions unless we are satisfied that your company plans to adhere to its tax and reporting responsibilities as well as relevant Scottish regulation laws. In addition, you will need to provide proof of your inability to travel to London to open the bank account in person.

Annual Service Renewal

We alert companies when it is time for annual renewal approximately one month before the next anniversary of your company. In the notice, we will enquire whether you would in fact like to renew your services with Coddan. Upon payment, we will then renew your company. If needed, we may obtain a certificate of good standing or an incumbency certificate on your behalf.

If you wish for Coddan to continue to service your company you will be invoiced for preparation and filling of an annual return or annual accounts, and nominee services. The invoice must be paid in full before the anniversary of your company registration. If you do no longer require Coddan's services, you must notify us immediately and lodge the official changes of your company details with Companies House before the anniversary of the incorporation of your company.

In the event that you don't reply to our renewal notice or pay the required fees before the anniversary of the formation of your company, Coddan will immediately withdraw its services and inform Companies House that we have done so. Please note that non-renewal can have serious affects and consequences for your company, and therefore those companies may be fined, dissolved, or placed into administrative liquidation and have their bank accounts frozen as well as assets confiscated.

While a company is registered, the beneficial owners, directors and members of that company will be liable for all fines and penalties imposed for the non-compliance of the statutory requirements. This includes not having the minimum required number of officers, not filing annual returns and reports, not having a valid registered office address. As a result, a company will not be permitted to be dissolved if there are any unpaid fines or penalties. Companies House will direct solicitors to bring a suit against the beneficial owners and directors of any company that does not pay the penalties or fines imposed by Companies House. If the suit goes to court, company property and assets may be confiscated as part of a judgement against the company. The Secretary of State will have to decide whether it is in the public interest to seek a disqualification order against a director. Examples of the most commonly reported conduct are: -
  • Continuing the company trading when the company was insolvent;
  • Failing to keep proper accounting records;
  • Failing to prepare and file accounts or make returns to Companies House.
  • Failing to send in returns or pay the Crown any tax that is owed.

Should you wish to no longer maintain your company you must file for dissolution at Companies House.

If Company's House dissolves your company and there are still assets tied into it, then it is your obligation to act as quickly as possible to have your company restored on the register. Upon being dissolved, any assets owned by your company's name will be passed on to The Crown. Thereafter, members and directors of that company must refrain from using any of the company's assets, which includes things like the company bank account.

Should you go to register your new company with other less knowledgeable advisors, they may encourage you to register company with the same name as the registered address to avoid the restoration process. This would be careless of that advisor, as the formation of a new Scottish company using the same name as a struck-off or dissolved company would not be an alternative or restoration of a company according to the Company's House register; instead, it will be a completely different company and the assets of the previously dissolved company would be unobtainable to you unless you follow the correct guidelines of restoration with the register at Company's House.

Aside from the fines posed by Company's House for late or unfilled annual reports, HM Revenue and Customs Service issue fines if a company's annual reports aren't submitted on time. Returns must be filed and all penalties paid regardless of the status of your company, and you will still be liable to pay for any outstanding tax, fees and penalties if your company closes. How to Restore a Company

 
The Registrar of Companies House can strike-off a company if they have reasonable cause to do so under the Companies Act. This can occur if annual returns and accounts aren't filed on time, but it can also be done voluntarily by the directors. In the former case, the strike-off procedure is as follows: -
  1. You will receive warnings which will come directly to the company's registered office.
  2. In the case of no reply, a notice will be published in the London Gazette for three months.
  3. Finally the name of the company will be struck off the Companies Register and the company will be dissolved.

How to Restore a Company Back to the RegistrarScottish registered companies who change registered address but fail to notify Companies House may be dissolved without their knowledge. This is quite a common problem. The company's assets will become bona vacantia and will then belong to The Crown, The Duchy of Lancaster or the Duchy of Cornwall depending on the location of the company's registered office, and the company bank account will be frozen. In order to rectify this situation and begin trading again, the company must be restored on the Companies Register.

Any member of the company or creditor can apply to the court for the restoration of their company once it has been struck off with the instigation of the Registrar of Companies. If a company has been voluntarily struck off by the directors, then any members of the company who must be notified of the striking off can apply to the court for restoration. This includes; the members, existing and prospective creditors, employees, managers or trustees of any employee pension fund, and any directors who haven't signed the application form to strike off the company.

You can apply to have your company restored if it has been struck-off or dissolved from the registrar. At Coddan, we are able to provide support if you need help applying to the court for an order to restore your company with the Company Registrar. We will attend the hearing on your behalf so the process can be resolved without your being there. Here is some further information about company restoration: -
  1. We need to fill a Claim Form and send it or take it on hand with the affidavit to the Royal Court.
  2. They will seal the Claim Form and then post it to us back.
  3. We will send the sealed Claim Form with the affidavit to Companies House.
  4. The Companies House will then inform the Treasure Solicitor who acts on their behalf.
  5. The Treasure Solicitor will get in touch with us asking for additional support information if necessary.
  6. We send the additional support information to Companies House and they will inform the Treasure Solicitor that they have got everything they needed from us.
  7. The Treasure Solicitor will send us the Court Order.
  8. We take the Court Order to the Court where it will be sealed.
  9. We send the Court Order to Companies House and wait until the company is restored on the Registrar.

When you've placed the order details regarding the banking transfer will be emailed to you. If for whatever reason you miss the email, please call the phone number included in the pack. The customer is responsible for the reimbursement of any bank wire transfer payments.

We process credit card payments by WorldPay – which is an important part of The Royal Bank of Scotland Group, the 5th biggest banking group in the world. We do not charge surcharges for the debit and credit card transactions. We authorise all Credit and debit card payments online, and you will be informed immediately if your card is declined. Payment must be received before we begin the company formation process. For our regular or corporate clients, we are able to offer them a professional credit account, though this is an exclusive privilege and can’t be offered to first time customers.

We can also accept payment over the phone if you are uncomfortable with your placing your bank details online.
