As long as you do not have them in your possession at the time you are questioned, you can legally and truthfully say under oath, "I am not the owner of that corporation." It's always recommended that people keep their bearer shares.

This way, if your nominee officer is ever questioned about your corporation, he can say the same thing: "Bearer shares were issued, I don't know who owns the company, and I can prove it."

In contrast to ordinary stock certificates, bearer shares do not list the name of a shareholder. Instead, they state that shares of stock in the corporation are owned by the "bearer" of the certificate. Therefore, whoever has physical possession of the certificate can exercise the rights of a shareholder of the company. The advantage of bearer shares is privacy and ease of transfer. A company with only bearer shares has no shareholders list or register.

Therefore it is impossible to know for certain who the shareholders of the company are. Because a transfer of the shares can be made by simply handing them to another person, bearer shares can be transferred more easily than non-bearer shares.

How Bearer Shares are Suppose to Work:


Normally, when you fill out the back of a stock certificate, you must print the name or the company name of who owns that stock. Then you must record in the stock ledger the shareholder, address, date, number of shares, and if it was an original issue or a transfer. Obviously whomever the stock is issued to is the owner of the company. If it is to the bearer, then whoever holds that certificate, at a particular moment, will thereby be considered the owner of the company.

You will need to supply name and address, any previous names, date of birth, nationality, occupation, details of other directorships, with company name and number.

There is quite a common misconception about Certificates of Incorporation that are issued through electronic filing; one which even the larger banks have not got to grips with yet. Over 65% of all companies formed in the UK are done so using Electronic Filing and this percentage is growing. Companies House do not issue a hard copy certificate for companies that are formed using this method, and instead issue an encrypted PDF version of the certificate. This PDF document is the original certificate, but should you wish to have a hard copy Companies House issue guidelines on how these should be printed. They state that the PDF certificate must be printed on to 160gram Ivory card.

The Renewal of Annual Services

The Renewal of Annual Services:


If you order a registered office address, or any of our nominee services, please be aware that these services are provided and charged annually. Coddan will send you a renewal notice a month before these services are due to expire, asking you if you would like these services to be renewed.

If you do wish to continue receiving these services you will be invoiced, and this invoice must be paid in full before the anniversary of your company formation. If you do not wish to continue receiving these services you must notify us immediately and lodge the official changes of your company details with Companies House before the anniversary of the formation of your company.

If you do not respond to our renewal notice, or pay the renewal invoice before the anniversary of the formation of your company, we will withdraw these services and inform Companies House that we have done so.

Because these services are very often subscribed to in order to comply with statutory requirements, their non-renewal may cause some very serious consequences for your company: companies which do not meet the statutory requirements may be fined, dissolved, or even placed into administrative liquidation and have their bank accounts frozen and their property and assets confiscated.

So long as a company is registered, the beneficial directors of that company will be liable for all fines and penalties imposed for the non-compliance of the statutory requirements, e.g. not having the minimum number of officers, not filing annual returns and reports, not having a valid registered office address. A company will not be permitted to be dissolved if there are any unpaid fines or penalties.

Companies House will direct solicitors to bring a suit against the beneficial directors of any company that does not pay the penalties or fines imposed by Companies House. If the suit goes to court, company property and assets may be confiscated as part of a judgement against the company. The Secretary of State has to decide whether it is in the public interest to seek a disqualification order against a director. Examples of the most commonly reported conduct are:

Continuing the company's trading when the company was insolvent;
Failing to keep proper accounting records;
Failing to prepare and file accounts or make returns to Companies House and
Failing to send in returns or pay to the Crown any tax that is due.

In the event that you no longer wish to maintain your company to a level which complies with the statutory requirements, you must formally file for the dissolution of your company at Companies House.

If your company has been dissolved, and there are assets or monies in the company's name, you will need to take prompt action to have the company restored to the Register. On dissolution of the company any assets remaining in its name passed to the Crown.

Therefore the company's members and directors must not attempt to use any of its assets e.g. a company bank account. Formation of a new UK limited company with the same name as the struck off or dissolved company is not an alternative to restoration of a company to the Register. It will be a different company - a new company formation is exactly that - a new company registration - and the assets of the previously dissolved company will remain beyond your reach unless the proper procedures are followed for restoration to the Register at Companies House.

In addition to penalties and fines imposed by Companies House for late or unfiled annual reports, HM Revenue and Customs service levies fines and penalties if a company's annual returns are not submitted on time. Returns must be filed and all penalties paid regardless of the status of your company. If you close your company, you will still be liable to pay any outstanding tax, fees, and penalties to HM Revenue and Customs office.

How to Restore a Company

How to Restore a Company:


The Registrar of the Companies can strike off a company if he has reasonable cause to do so under the section 652 of the companies act. A company can be defunct if annual return and accounts are not filed on time, alternatively, a company may be struck off the Companies Register on an application for voluntary striking off by the Directors. In the first case there's a strike off procedure: 1. Sending a series of warnings to the company's registered office. 2. If there is not reply then a notice will be published in the London Gazette for three months. 3. Finally the name of the company will be struck off the companies Register and the company will be dissolved.

It is common that most of the companies fail to notify the Registrar of a change of the registered office so as result they being dissolved without their knowledge.

Consequently the company's assets will be bona vacantia (and will belong to the Crown, the Duchy of Lancaster or the Duchy of Cornwall depending on the location of the company's registered office) and its bank account will be frozen.

In order to recover its assets and continue trading the company must be restored to the Companies Register.

The company or any member or creditor may apply to the court for restoration if the company was struck off at the instigation of the Registrar of Companies. If the company was struck off on the application for voluntary striking off by the Directors, any of the parties who must be notified of the application for voluntary striking off, e.g. the members, existing and prospective creditors, employees, managers or trustees of any employee pension fund and any Directors who have not signed the application form for striking off, may apply to the court for restoration.

Steps to Restore a Company:


  1. We need to fill a claim form and send it or take it on hand with the affidavit to the Royal Court.
  2. They will then seal the claim form for us.
  3. We will send the claim form sealed plus the affidavit to the Companies House.
  4. The Companies House will then inform the Treasure solicitor who act on their behalf.
  5. He will get in touch with us asking additional requirements if necessary.
  6. We send the additional requirements to the Companies House and they will then inform the solicitor that they got everything they needed from us.
  7. Then the treasure solicitor will send us the Court order.
  8. We will need to take the Court order to the court and let them seal it.
  9. As last step, we send the court order to the Companies House and the company will be restored.
