About The Format of You Company Name 

Your company name must end with the word 'Limited', or its abbreviation 'Ltd', or the Welsh language equivalents: 'Cyfyngedig', or 'Cyf'. For example: ABC Limited, ABC Ltd, ABC Cyfyngedig, ABC Cyf.

These words (Limited, Ltd, Cyfyngedig, Cyf) must not occur in any other place within the name of your company.

About the Using Of Symbols in Your Company Name 

You can use most symbols present on a standard English keyboard in your company name. The following are all acceptable: -

  • £ pound
  • $ dollar
  • % percent

Companies House will also consider less common symbols so long as they can be readily produced on the certificate of incorporation, and entered in their database.

About the Possible Trademark Infringement 

About Possible Trademark InfringementYou should be careful not to register a company under a name which infringes a registered trade mark. If your company name infringes a registered trade mark you could be sued by the owner of that trade mark. You should definitely not use a company name which misleads the public into believing that your business is that of another business.

Registration of a company name with Companies House only prevents others from registering a company under the same name: it does not legally protect your company name, nor does it protect you against trade mark infringement.

It is often advisable to conduct a trademark search before registering your company, and to register your company name as a trade mark. If Companies House is informed that your company name infringes a registered trade mark, they will direct you to change your company name, and additional fees will apply. About The Registered Office AddressYour company must have a registered office address within England or Wales; this is the official address of your company and will be on the public record as such. Companies House, HMRC, and other authorities will use the registered office address of your company to send official documents, and they will assume that such documents have been received by the company directors.

Your company must hold its official company documents at its registered office address: its register of shareholders, and its constitutional documents. Because people have the right to visit your office to see these documents, your registered office address must be a physical address: it cannot be a post office box address. So long as you maintain a registered office address in England or Wales, you can conduct your business from any place in the world: you do not have to run your business from your registered office address.

We offer a service whereby we keep your corporate documents at the registered office address for you to be available for public inspection. Keeping your corporate documents at our registered office address service is charged annually, and we may keep your company documents in electronic or in hard bounded copies. Certain company documents are usually kept at your registered office address. These registers may be kept at some other place, but the Companies House must be informed, and they must be made available for public inspection. The specific requirements are as follows: -

The register of directors and secretaries, and the register of charges, must be kept at the registered office of the company. The register of members, (and the register of debenture holders, if applicable), must be kept either at the company's registered office, or at some other place within England and Wales where it is maintained. Companies House must be informed if the register of members is not kept at the registered office address.

The register of directors' interests in shares and debentures of the company must be kept either at the company's registered office or at the place where the register of members is kept. The register of interests in voting shares must be kept at the same place as the register of directors' interests. The company's registers must be made available for inspection by any member of the company and by any other person upon the payment of no more than £2.50 per inspection. We need to receive a writing notice two days before the inspection.

Our standard version of the memorandum and articles of association is very widely drawn, and is suitable for most types of business. An electronic copy of our standard memorandum and articles of association is included with your company formation.

Additional printed and bound copies of our standard memorandum & articles of association can be provided, either at the time of original incorporation or at a later date. If you are conducting business overseas, there may be times when you need a translated copy of your memorandum and articles of association. You can get a translated version before, or after, you register your company. The advantage to getting a translated version of your memorandum and articles of association before formation is that you can submit your translated version along with your English version to Companies House at the time of registration.

This means that your translated version will be held on the public record, and it will be easier for you, and interested third parties, to view the certified translated version. We currently offer translation services into the following languages: Chinese, French, German, Italian, Russian, and Spanish.

If you want to have specifically drafted objects and clauses included in the memorandum and articles of association of your company, simply send them to us, and we will include them.

If you request a non-standard memorandum and articles of association, the formation of your company will be delayed by between 24 and 48 hours. Please do not request a guaranteed same-day incorporation if you also require a non-standard memorandum and articles of association.

About Authorised Share Capital 

Also know as share capital or nominal capital, the authorised capital of a company is the maximum amount of share capital that a company is legally permitted to issue to its shareholders.

The nominal value of the authorised share capital is stated in the company's memorandum of association. It is generally best to nominate a high value for the authorised share capital at the time of formation to avoid the need to officially change it at some later stage. The authorised share capital sets a limit on the amount of money a company can raise through the sale of shares in the company. If a company sells too many shares, exceeding the maximum value allowed in its memorandum of association, and then the shares exceeding the authorised capital will be deemed to be invalid and ineffective.

It should be noted that the full amount of the authorised capital need not be used: it represents a maximum limit, there is no minimum limit, so only a portion, or none at all, of the authorised capital need be issued as shares. The standard capital on formation is £1,000, this is divided into 1,000 ordinary shares valued at £1.00 each. It is not required to have all of the shares issued, but a minimum of one share must be issued. If you choose the standard share capital option, one share valued at £1.00 will be issued at the time of formation.

About The Minimum Number Of Officers You NeedA private company limited by shares in England and Wales must have at least one director, one shareholder, and may have a secretary. You need at least one person to form this type of company. If there is only one director, and that director is a natural person in your company, that director can also act as the secretary.

A company must have at least one director who is a natural person. This requirement is met if the office of director is held by a natural person as a corporation sole or otherwise by virtue of an office. You can register a sole director' company, if you are familiar with the secretaries duties and responsibilities, because all of them belongs to a sole director. The directors and secretary of your company can also be shareholders.

The Companies Act imposes no restriction on the minimum age of company directors. However Companies House will actively discourage the appointment of anyone under the age of 16 from taking up a company directorship on the grounds that the individuals concerned may not fully understand the legal liabilities that go with the position and for the most part will not have the experience necessary to perform the duties of a company director.

Under the Companies Act 2006, there is no restriction on any or all of the members/shareholders being from an overseas country (i.e. outside the United Kingdom in terms of residency, domicile, and citizenship, place of incorporation or all or any of those concepts). Nevertheless, this general proposition may be subject to any applicable foreign investment rules which may apply from time to time.

About the Nationality and Immigration Status of a Company Officers 

There is no requirement for the officers of your company to be UK citizens or residents, nor for them to hold valid work permits. Owning, or being an officer of a UK company does not, however, grant you any right to live or work in the UK if you are a foreign national. To register a company in the UK you must have a valid registered office address in England or Wales.

The Fifth Option to Register a Company 

The fifth option to incorporate a new company - do it your self. To incorporate a limited company you will need to file the following four documents with Companies House: -

IN01 Application to register a company - this contains all information which requires to incorporate a company.

Memorandum of association - this states the company name, the situation of the registered office (to be England and Wales, Scotland or Wales), the objects of the company and its liability.

Articles of association - this gives the internal management affairs and running of the company. Each subscriber to the shares should sign this.

Who is Entitled to Sign My Forms? 

In most cases any serving officer may sign documents submitted to the Registrar. The former officers of a company should not sign any documents. If it comes to light that documents which needed to be delivered to the Registrar have not been filed, have gone astray or were incorrectly completed (which may require the filing of an amending document), then only currently serving officers may sign the forms.

An assistant company secretary is able to sign any document that the company secretary may sign. The appointment of an assistant company secretary need not be notified to the Registrar.

The Final Step 

Send all documents by post, with accompanying letter to the registrar (the letter to the registrar at Companies House is one of a number of documents used to incorporate a company. It briefly sets out the documents included, and confirms your wish to incorporate as a company) at Companies House.

Incorporating a Limited Company - Types of Business Presence 

The law provides for the incorporation of four different types of company: private company limited by shares (LTD) - members' liability is limited to the amount unpaid on shares they hold. Private company limited by guarantee - members, liability is limited to the amount they have agreed to contribute to the company's assets if it is wound up. Private unlimited company - there is no limit to the members' liability. Public limited company (PLC) - the company's shares are offered for sale to the general public and members' liability is limited to the amount unpaid on shares held by them.

For almost all business purposes the form used is the company limited by shares, either as a private limited company (LTD) or as a public limited company (PLC). Most foreign companies incorporate a private limited company. No consents are needed, no local shareholders or directors are required and no minimum capital rules apply. Certain documents (e.g. memorandum and articles of association) must be filed with Companies House in order to form the company.

Alternative Business Models For Foreign InvestorsIn addition, investors can also establish a business presence in the United Kingdom through the setting up of a branch or place of business of the overseas company, partnership or joint venture or subsidiary company. Overseas companies can either register as a branch or as a place of business: a branch is part of an overseas limited company organised to conduct business through local representatives in the UK.

Constitutional documents and accounts must be in your own language, with (if not in English) a certified translation made in the country where your company was incorporated. A place of business is a premise where there is a physical or visible indication that the company may be contacted there.

An overseas company also has to register if it habitually conducts business from a particular location in the United Kingdom even if there is no physical sign of the company's connection with it.

An overseas company can incorporate a base in the United Kingdom by joining with a British company. Such joint ventures (JVs) are usually with limited companies or as a partnership. Information on possible JV partners may be available from the relevant United Kingdom trade associations. A company that is resident in the United Kingdom is a subsidiary of another company if it is a body corporate, which satisfies the conditions: It qualifies as a 51% subsidiary as defined in ICTA 88/S838 except that the other company is treated as not being the owner.

Of any share capital which it owns directly in a body corporate, if a profit on the sale of the shares would be treated as a trading receipt of its trade. Of any share capital which it owns indirectly, and which is owned directly by a body corporate for which a profit on the sale of the shares would be a trading receipt. Of any share capital which it owns directly or indirectly in a body corporate not resident in the United Kingdom.

By running your business through a limited company you stand to save tens of thousands of pounds in tax and national insurance every year. Why? To start with UK corporation tax rates are much lower than income tax rates. Secondly, company owners can pay themselves dividends, which are taxed much less heavily than other forms of income. Finally, setting up a company with your spouse allows you to split your income which almost always results in a lower tax bill.

Post-Incorporation 

Post-IncorporationOnce you have your company incorporated, you need to have your first directors board meeting (the meeting confirms the incorporation of the company, the names and roles of the directors, adjustments to shareholdings, and (as appropriate) appointment of solicitors, bankers and accountants). The shareholders or their advisers must present these documents, with a filing fee to the Registrar of Companies who will issue a certificate of incorporation.

A company is required under UK Companies Law, periodically, to file prescribed documents.

These include an annual return and annual accounts. They must be delivered to the Registrar of Companies, who has the duty to make them available for public inspection. The company itself has to make certain documents available for inspection. In some cases this right of inspection is restricted to members of the company. In others any member of the public has a right of inspection. The annual return must includes prescribed company information including the registered office address, the names and addresses of its directors and its secretary, and the location of the register of members if it is not kept at the registered office. The accounts include: a profit and loss account and a balance sheet.

An auditor's report and a director's report, each containing certain information, must also be prepared and sent to the Registrar with the accounts. These are statutory requirements and unless a company is very small and its affairs simple, professional advice in respect of the preparation of accounts should be obtained. However, special provisions exist for dormant and small to medium-sized companies to deliver modified and less detailed accounts. Many companies with turnover below £90,000.00 can dispense with the statutory audit completely, while those with a turnover between £90,000.00 and £350,000.00 can replace the audit with a simple report prepared by a qualified independent accountant.

A company is also required under UK Company Law to file particulars of changes in its directors, secretary, registered office and share capital, or if it wishes to change its name. It is also required to file particulars of mortgages and charges, and copies of special and extraordinary resolutions.
