When first setting up a business there are many issues to consider, not least of all, whether to register as a company or not. Starting and managing a business takes motivation, desire and talent. It also takes research and planning. Like a chess game, success in a small business starts with decisive and correct opening moves. Coddan deals with new and existing business ventures in the United Kingdom and overseas, and offers expert advice on business structures, the acquisition and disposal of companies, the formation of companies, partnerships, trust or hybrid business structures, offshore director and shareholder services, offshore bank accounts, agreement and statement drafting, advice and representation in personal and business visa and immigration issues, and much more. If you also need additional explanations on the differences between U.S. companies and UK entities, we can provide support to you. For example, within the UK, the most popular type of companies are those limited by shares, while, in the U.S., the most similar equivalency to UK companies limited by shares will be the C-Corporation. On the other hand, S-Corporations and LLC’s in the U.S. are most similar to a UK LLP because the company officers, or individuals, are taxed, rather than the company’s profits.

Coddan specialises in the incorporation of Private Companies, Companies Limited by Guarantee, Charities, Public Companies, Partnerships (in England, Wales, Scotland and Ireland incl. Republic of Ireland), American Corporations (INC) and Limited Liability Companies (LLC) formations.

We offer non-resident and offshore IBC registration and a secretarial service. If required, we can provide a registered office facility (we are offering registered office addresses in London, Edinburgh, Glasgow, and in Birmingham, resident agent services in 50 States of America), we also provide virtual and serviced offices in London, Windsor, Slough, Glasgow, Aberdeen and in Washington DC (USA).

What Are My Best Options? What Are My Best Options?
At present, there are a number of different legally defined organisational structures which a UK business might take: a sole trader, a partnership, a Private Limited Liability Company, or a Limited Liability Partnership (LLP). It is also possible to set up in business as a Public Limited Company (PLC) and as a Co-operative, but only very few start-ups meet the criteria to use either of these.

There are basically two ways of obtaining a Limited Liability Company through which to trade, either by acquiring a company which has already been incorporated but is not trading (known as a dormant company or ready-made company), or alternatively, by setting-up a new limited company from scratch. The main benefit of limited by shares companies is that there is a limited liability for the shareholders, which can protect them from high losses. Although UK companies Limited by Shares are most commonly incorporated, a UK LLP has a similar function, in that its members are able to limit their personal liability if something goes wrong with the business, and the company is viewed as a separate legal entity from its members. Also, the UK LLP utilizes an Operating Agreement, which is the same type of document that an LLC uses to state its details of operation. In the U.S., LLC’s and Corporations have similar functions as a UK company Limited by Shares.

Does the registration of your company name with Companies House also mean that my trade mark is protected? No. Company law is different from trade mark law. You cannot stop someone using a trade mark, which is the same or similar to yours, merely by registering your name with Companies House.

Company Formation Online:
Starting a new company is not particularly difficult, although two legal documents: the Articles of Association and the Memorandum of Association (the company's constitution), will need to be prepared. The Memorandum states information which is parallel to what is found in the U.S. Certificate of Incorporation (or Certificate of Formation), while the Articles serves the same purpose as the U.S. By-laws or Articles of Incorporation (in certain U.S. States). Copies of these documents, and an application to form a new company, must be submitted to the Registrar of Companies at Companies House.

Ready-Made Companies Ready Made Companies:
Off-The-Shelf Companies: do you want to incorporate your business in England, Wales or Scotland or to transfer your activity to a new company and at the same time don't you want or cannot wait? Ready-Made Company is the answer. A ready-made company is a private limited company that has already been incorporated as a general commercial company and is ready to trade immediately. Readymade company is ideal, if you need purchase house, flat or any other real estate in the United Kingdom and you are foreigner or you can start your new business immediately. We have many English, Scottish, Delaware, Nevada, New York and offshore ready for sale companies, which are ready to trade, and can be transferred to you within hours. We offer substantial consulting in completing the proper merging and organisation of a shelf company.

Annual return dates, duties and company account return dates are dependent on the original date of incorporation not the purchases date. The UK annual return and company accounts are due each year, and have similar adherence requirements as that of the U.S. filing of accounts and submission of the Officers List. Please note that all our ready-made companies are formed with General Commercial objects and are therefore able to conduct any nature of business. Off-the-shelf and ready-made are companies which have been incorporated by Coddan in the past yet have not engaged in any business activities since their registration. Generally, aged companies are more valuable than new companies.
You May Use This Link to Select a Ready-Made Company:  Let Me Check Your List of Ready-Made Companies

We Also Buy Old Companies:
If you own an old dormant or aged company that you never used then we may be interested in buying it from you or selling it on your behalf. The older the company is the better. If you have simply registered a company but then changed your plans we can take it off your hands and offer you payment in return. If you have a company for sale please E-Mail or call us: 0800 081 1510 or +44 (0) 207.935.5171, fax: +44 207.504.3531. (Note: we do not buy the company before we have received the result of the investigation.)

Bank Introduction Services:
Coddan offers bank introductions to all of the major UK banks, including : HSBC, NatWest, the Royal Bank of Scotland, Bank of Ireland, Alliance & Leicester Commercial Bank, Lloyd's and Barclays. We can also provide introductions to local branches of foreign banks, such as BBVA, Bank of Cyprus, Bank of China and Islamic Bank of Britain.

The cost of our bank introduction service depends on the types of services that your company requires from the bank, and upon the particular bank that you wish to use.

Coddan has worked hard to build excellent professional relationships with banks in order to provide a full range of bank introduction services to our clients. We are committed to maintaining these relationships, and it is for this reason that we must be satisfied that your company plans to act in an exemplary manner with respect to book keeping, and the filing of annual returns and reports, before we will agree to provide these services.

Generally, UK companies operate business accounts with UK banks, the opening of which requires the directors to visit the bank in person. It is, however, possible to open some types of bank accounts by distance, without the need of personally visiting the bank. Because this is not common practice, we are understandably reticent to provide distance banking introductions unless we are completely satisfied that your company plans to meet all of its tax and reporting responsibilities, and to adhere to all relevant UK regulations. In addition, you will need to supply us with a convincing argument for your inability to travel to London to open a bank account in person.

Companies who plan to remain dormant will not be offered any bank introduction services by Coddan, as there are no valid reasons for a dormant company to operate a bank account.

General Advantages of UK Private Limited Companies:

1. Liability is, in the vast majority of cases, strictly limited to the investments made by the shareholders.
2. Company Officers are not personally liable for their actions unless there is a clear and serious breach of their fiduciary duty.
3. Limited companies often benefit from greater prestige than their sole proprietorship or partnership counterparts. The reason is because such an enterprise normally requires more planning and thus is deemed more credible.
4. Limited companies often benefit from significant tax advantages. In fact, many countries around the world give exclusive tax incentives to this type of entity.
5. The rights of shareholders are normally clearly defined and protected.
6. Corporate taxes only become payable after the end of the financial year. This means money that would otherwise be taxed on a monthly or quarterly basis, is available to earn further interest before the final payment of tax.
7. You need only appoint one Director and one Shareholder.
8. Directors can be corporate bodies or private individuals.
9. A Director can be of any nationality.
10. All companies must appoint a company Secretary who can be of any nationality.

E-QUICK Formation Package For Just £32.00
The E-Quick formation package is our most popular package with UK residents. It is ideal for small to medium businesses that have their own address in the UK, and that have a partner appointed as company secretary. It offers:

Electronic submission and incorporation of your company at Companies House
Certificate of Incorporation
Memorandum and Articles of Association

All of the documents offered by this package are sent directly to you by email.

This option allows you to immediately appoint your own directors, shareholders, company secretary and registered office details. Upon registration these appointees will be recorded as the original company officers. A myriad of equity or debt financing options are available to companies that are registered in a person's name where that person is responsible for the operations of the company.

Different types of company require different combinations of officers; a private limited company must have at least one director and a company secretary (a sole-director cannot also act as the secretary); while a public limited company must have a least two directors and a company secretary. In the UK, if there are two acting directors, one of them may “double” as both director and secretary; similarly, in the U.S. one officer (such as Director) may also be appointed for more than one position. However, U.S. companies require that an individual (and NOT a corporate body) be appointed as Director, while, in the UK, any company director, secretary, or shareholder CAN be a corporate entity. If you do not have the requisite officers, you can use our nominee services.

The E-Quick package can be upgraded with the addition of many complementary services, including: domain name registration, call free 0800/0207 telephone numbers, voicemail, call forwarding, additional sets of corporate documents, seals, nominee services, VAT registration, book keeping and accounting services, notarisation & Apostille services.
Order the E-Quick Formation Package: E-Quick Formation Package - £32.00  (incorporation, government taxes and government fees are included).

ECONOMY UK LTD Registration Package For Just £82.00
The ECONOMY UK LTD formation package is our most popular package with EU residents. It is ideal for smaller companies, such as those being run by a sole director from home who has a partner to act as company secretary, where a registered UK address is required for correspondence between your company and UK authorities (i.e. Companies House and the Inland Revenue). It offers:

Electronic submission and incorporation of your company at Companies House
Certificate of Incorporation
Memorandum and Articles of Association
Registered UK office address
Forwarding of Official Mail

All of the documents offered by this package are sent directly to you by email.

All UK companies are legally required to have a registered UK address. This registered address is the official address of your company and should be used on company stationery. Unlike U.S. requirements, where a registered agent must be approved with the Secretary of State, UK companies may use any address located within the borders of the United Kingdom. The UK Companies House does not require that your registered office address be pre-approved by any government department. We can provide you with a prestigious address in England, Scotland, or Wales, depending on which country you would like to form your company in. Your registered UK office address is only used to comply with the requirements of the Companies Act 1985 in relation to official mail and documents; it should not be used as a general trading address; our trade mail service is available for this purpose.

This option allows you to immediately appoint your own directors, shareholders, and company secretary.

If you do not have the requisite officers you can use our nominee services.

The ECONOMY UK LTD package can be upgraded with the addition of many complementary services, including: domain name registration, trade mail services, call free 0800/0207 telephone numbers, voicemail, call forwarding, additional sets of corporate documents, seals, nominee services, VAT registration, book keeping and accounting services, notarisation & Apostille services.

DELUXE Business Start-Up Package For Just £256.95
The DELUXE business start-up package is our most popular package with international customers. It is designed to allow our clients to retain anonymity for legitimate reasons. It offers:

Electronic submission and incorporation of your company at Companies House
Certificate of Incorporation
Memorandum and Articles of Association
Registered UK office address
Forwarding of Official Mail
Nominee Secretary Service
Nominee Director Service
Power of Attorney

Upon the formation of your company, the following documents will be sent to you: two laminated copies of the Certificate of Incorporation of your company, two hard bound copies of the Memorandum and Articles of Association of your company, two hard bound copies of the Minutes of the First Meeting of the Directors, a company register, and two printed share certificates

All UK companies are legally required to have a registered UK address. This registered address is the official address of your company and should be used on company stationery.

Different types of company require different combinations of officers; a private limited company must have at least one director and a company secretary (a sole-director cannot also act as the secretary); while a public limited company must have a least two directors and a company secretary. The name of each director and secretary of every UK company is recorded in both the company's statutory register and at Companies House. This information is therefore publicly available. For valid commercial reasons, it is sometimes necessary for the owner of a company to remain anonymous and appoint a nominee to hold their interests for them.

By using the DELUXE business start-up package, we will become the registered Secretary and Director of your company, and no public record of you will exist. We will act as both a nominee secretary, and a nominee director for your business, and thereby enable you to satisfy the legal requirements while maintaining anonymity. You will, however, retain full control and ownership of the company by virtue of a special agreement.

The DELUXE business start-up package can be upgraded with the addition of many complementary services, including: nominee shareholder services, domain name registration, trade mail services, call free 0800/0207 telephone numbers, voicemail, call forwarding, additional sets of corporate documents, seals, VAT registration, book keeping and accounting services, notarisation & Apostille services.

The Renewal of Annual Services The Renewal of Annual Services:
If you order a registered office address, or any of our nominee services, please be aware that these services are provided and charged annually. Coddan will send you a renewal notice a month before these services are due to expire, asking you if you would like these services to be renewed.

If you do wish to continue receiving these services you will be invoiced, and this invoice must be paid in full before the anniversary of your company formation. If you do not wish to continue receiving these services you must notify us immediately and lodge the official changes of your company details with Companies House before the anniversary of the formation of your company.

If you do not respond to our renewal notice, or pay the renewal invoice before the anniversary of the formation of your company, we will withdraw these services and inform Companies House that we have done so.

Because these services are very often subscribed to in order to comply with statutory requirements, their non-renewal may cause some very serious consequences for your company: companies which do not meet the statutory requirements may be fined, dissolved, or even placed into administrative liquidation and have their bank accounts frozen and their property and assets confiscated.

So long as a company is registered, the beneficial directors of that company will be liable for all fines and penalties imposed for the non-compliance of the statutory requirements, e.g. not having the minimum number of officers, not filing annual returns and reports, not having a valid registered office address. A company will not be permitted to be dissolved if there are any unpaid fines or penalties.

Companies House will direct solicitors to bring a suit against the beneficial directors of any company that does not pay the penalties or fines imposed by Companies House. If the suit goes to court, company property and assets may be confiscated as part of a judgement against the company. The Secretary of State has to decide whether it is in the public interest to seek a disqualification order against a director. Examples of the most commonly reported conduct are:

Continuing the company's trading when the company was insolvent;
Failing to keep proper accounting records;
Failing to prepare and file accounts or make returns to Companies House and
Failing to send in returns or pay to the Crown any tax that is due.

In the event that you no longer wish to maintain your company to a level which complies with the statutory requirements, you must formally file for the dissolution of your company at Companies House.

If your company has been dissolved, and there are assets or monies in the company's name, you will need to take prompt action to have the company restored to the Register. On dissolution of the company any assets remaining in its name passed to the Crown.

Therefore the company's members and directors must not attempt to use any of its assets e.g. a company bank account. Formation of a new UK limited company with the same name as the struck off or dissolved company is not an alternative to restoration of a company to the Register. It will be a different company - a new company formation is exactly that - a new company registration - and the assets of the previously dissolved company will remain beyond your reach unless the proper procedures are followed for restoration to the Register at Companies House.

In addition to penalties and fines imposed by Companies House for late or unfiled annual reports, HM Revenue and Customs service levies fines and penalties if a company's annual returns are not submitted on time. Returns must be filed and all penalties paid regardless of the status of your company. If you close your company, you will still be liable to pay any outstanding tax, fees, and penalties to HM Revenue and Customs office.
For More Information: email info@ukincorp.co.uk or call: 0800 081 1510 or +44 (0) 207.935.5171, fax: +44 207.504.3531.

How to Restore a Company How to Restore a Company:
The Registrar of the Companies can strike off a company if he has reasonable cause to do so under the section 652 of the companies act. A company can be defunct if annual return and accounts are not filed on time, alternatively, a company may be struck off the Companies Register on an application for voluntary striking off by the Directors. In the first case there's a strike off procedure: 1. Sending a series of warnings to the company's registered office. 2. If there is not reply then a notice will be published in the London Gazette for three months. 3. Finally the name of the company will be struck off the companies Register and the company will be dissolved.

It is common that most of the companies fail to notify the Registrar of a change of the registered office so as result they being dissolved without their knowledge.

Consequently the company's assets will be bona vacantia (and will belong to the Crown, the Duchy of Lancaster or the Duchy of Cornwall depending on the location of the company's registered office) and its bank account will be frozen.

In order to recover its assets and continue trading the company must be restored to the Companies Register.

The company or any member or creditor may apply to the court for restoration if the company was struck off at the instigation of the Registrar of Companies. If the company was struck off on the application for voluntary striking off by the Directors, any of the parties who must be notified of the application for voluntary striking off, e.g. the members, existing and prospective creditors, employees, managers or trustees of any employee pension fund and any Directors who have not signed the application form for striking off, may apply to the court for restoration.

Steps to Restore a Company:
  1. We need to fill a claim form and send it or take it on hand with the affidavit to the Royal Court.
  2. They will then seal the claim form for us.
  3. We will send the claim form sealed plus the affidavit to the Companies House.
  4. The Companies House will then inform the Treasure solicitor who act on their behalf.
  5. He will get in touch with us asking additional requirements if necessary.
  6. We send the additional requirements to the Companies House and they will then inform the solicitor that they got everything they needed from us.
  7. Then the treasure solicitor will send us the Court order.
  8. We will need to take the Court order to the court and let them seal it.
  9. As last step, we send the court order to the Companies House and the company will be restored.

Incorporate Offshore Setting-Up an Offshore Company:
By correctly structuring an investment or business activity within a company incorporated in an offshore location, it is generally possible to optimise your tax efficiency, with a minimum of bureaucratic interference.

When used in conjunction with an offshore trust, an offshore company can form part of a very effective international financial or estate planning structure.

Coddan can incorporate companies in any of the following offshore locations: Cyprus, Belize, Nevis, Panama, The Seychelles, The British Virgin Islands, Costa Rica, Mauritius, Portugal, Uruguay, Argentina, Venezuela, Guernsey, Jersey and in Hong Kong. Coddan holds many ready-made companies offshore, which are available for immediate trading. We also offer a range of business support services.

Some providers of world wide company formations are marketing the United Kingdom as an attractive offshore location for foreign business. Perspective foreign clients should bear in mind that the UK is not a tax haven. Companies incorporated in the UK must pay tax on their worldwide income regardless of the country in which this income is generated. With the exception of charitable companies, there are no tax exempt companies in the UK.
