Documents posted to Companies House
In response to recent complications and delays experienced by our clients following the changes to the postal rates in the United Kingdom, Coddan is advising all of our clients to ensure that all documents being sent to Companies House via Royal Mail carry the correct postage.
Mail that is sent without the correct postage will at best be considerably delayed, and at worst subsequently returned or destroyed. Because submissions to Companies House are often subject to stringent deadlines, any delay in a submission to Companies House may have dire consequences for a company.
Charge registration
A charge is a security, usually in the form of a property, which is offered as collateral for the payment of a debt or other obligation. A charge differs from a mortgage in that the property is never transferred to a creditor, it is, rather, a security interest which gives the beneficiary of the interest certain preferential rights in relation to the asset.
When a company registered in the United Kingdom creates a charge, details of that charge must be registered with Companies House. All of the documents relevant to the charge must be received by Companies House within twenty one days of its creation to ensure its security in the event of liquidation. If the charge is not registered with Companies House within twenty one days, and if a court order to extend the time for registration cannot be obtained, the charge will be void against the liquidator or administrator and any creditor of the company.
This means that the debt for which the charge was given will remain payable, but it will be unsecured. If a company fails to deliver a registrable charge, and if no other interested party has registered it, then the company and every officer of the company who is in default are liable to a fine. If the default continues, they are liable to a daily default fine.
In order for a company to register a charge it must apply to Companies House by submitting form 395 along with the original charge documents. This must be done within twenty one days of the charge being issued.
