The E-Quick package, which is similiar to "LEGO Bricks", and offers the client the choice of our additional extras, including nominees, provision of our registered office address, and apostille services - not all of which, are unavailable in the Star packages.

This package does not come with a free bank account, although the option to purchase this as an additional service for a small fee along with your incorporation is available. With this option we will send you a special banking questionnaire and arrange a personal meeting with the bank officer.

You will not be able to register with the Star package if you are under eighteen years of age. This is because you will probably have some degree of difficulty in opening the bank account.

When you register with the Star package, you do not receive any of the extra services available in the E-Quick package, nor do you receive any other documents such as the share certificates of the register of members. You cannot modify the particulars of the Star package, although if you check the higher Star packages, you will receive more services included for the price that you pay.

This chip-scale package is not available to non-UK residents, whereas the E-Quick package and subsequent upgrades are. Due to the nature of the Star package, any clients who are wishing to begin a business will be unable to remain anonymous.

The business bank account service requires you to fill out the necessary paperwork for the bank beforehand, providing personal details (for which you will be subject to a credit check). The bank may wish to do an identification check to satisfy their own criteria that you are legally able to bank with them.

It is important to remember that while Coddan will provide this service, acting as an introductory medium between the client and the bank, the actual opening of the account is the bank's discretion. This service is a feature of the Star package, available to UK residents only.

Following the introduction of the 2007 Anti Money Laundering Regulations (MLR) it is now a legal requirement that all organisations offering company formation and trustee administration services to be registered with HM Customs & Excise and to have an MLR registration number. We have been successfully registered with HM Customs & Excise and received the MLR registration number, which is 12298927. It means that Coddan has passed the fit and proper test and has the confirmation that we have been effectively registered for MLR.

Please bear in mind that when applying for registered office address and/or nominee servives for your UK Company, as well as offshore companies incorporation service, Coddan will require receiving from each company director/shareholder/beneficiary owner following documents for our Due Diligence records: -
  • A certified proof of ID;
  • A certified proof of address;
  • A declaration of the beneficiary owner (to be supplied by email);
  • A bank or professional reference letter (required for offshore companies formation).

About a certified copy: a certified copy is a copy (often a photocopy) of a primary document, that has on it an endorsement or certificate that it is a true copy of the primary document. It does not certify that the primary document is genuine, only that it is a true copy of the primary document.

A certified copy is largely a creation of English-speaking common law countries, and was designed for administrative convenience. It is usually inexpensive to obtain. It avoids the owner of important documents (especially identity documents) giving up possession of those documents which might mean a risk of their loss or damage.

It has some similarities to a notarised copy, which is a form used in some countries, and particularly in some States in the USA. The certified copy is signed by a person nominated by the person or agency asking for it. Typically, the person is referred to as an authorised person. The person who is authorised to sign the certificate will vary between countries. Sometimes a person is authorised by legislation to do so (for example a court clerk, solicitor, or notary public), but this is not always so. In some countries, for example the United Kingdom and South Africa, identity documents can also be certified by authorised Post Office staff. A copy of a primary document that is to be used internationally may have to be in the form of a notarised copy rather than a certified copy. A notarised copy may be more expensive to obtain. A copy of a document to be used internationally may also have to comply with special rules - Hague Convention Abolishing the Requirement of Legalisation for Foreign Public Documents.

If the primary document has to be translated, an additional certificate is usually required. For example, a birth certificate in Russian is to be used in an English-speaking country. Typically, the document must be translated professionally and have the professional's certificate of accuracy attached to the translation together with a copy of the primary document. Then, the primary document, the translation, and the certificate of accuracy are photocopied in the form of a certified copy. In the case of a birth certificate in English to be used in Russia, it is possible that a notarized copy will be required.

It's important for you to remember that if you will not be able to comply with our Due Diligence requirements, Coddan will not be able to accept you as our client and provide you any services.

Please take a note that other providers who are offering you a company formation service in Great Britain, and operating without of the MLR number are breaking the law. We follow up the due time for companies and we will contact you approximately one month before the next anniversary of your company. Coddan will send you a renewal notice a month before these services are due to expire, asking you if you would like these services to be renewed. As soon as we received your payment, we will take care of all necessary renewal formalities for behalf of your company. If it will be needed and required (by your bank or any other government authority), we may obtain a certificate of good standing or incumbency certificate as well.

If you do wish to continue receiving services you will be invoiced (preparation and filling of an annual return or annual accounts, nominee services, etc.), our invoice must be paid in full before the anniversary of your company registration. If you do not wish to continue receiving any kind of support or service from Coddan, you must notify us immediately and lodge the official changes of your company details with Companies House before the anniversary of the incorporation of your company.

If you do not respond to our renewal notice, or pay the renewal fees before the anniversary of the formation of your company, we will withdraw these services and inform Companies House that we have done so. Because these services are very often subscribed to in order to comply with statutory requirements, their non-renewal may cause some very serious consequences for your company: companies, which do not meet the statutory requirements, may be fined, dissolved, or even placed into administrative liquidation and have their bank accounts frozen and their property and assets confiscated.

So long as a company is registered, the beneficial owners, directors and members of that company will be liable for all fines and penalties imposed for the non-compliance of the statutory requirements, e.g. not having the minimum number of officers, not filing annual returns and reports, not having a valid registered office address, a company will not be permitted to be dissolved if there are any unpaid fines or penalties.

Companies House will direct solicitors to bring a suit against the beneficial owners and directors of any company that does not pay the penalties or fines imposed by Companies House. If the suit goes to court, company property and assets may be confiscated as part of a judgement against the company. The Secretary of State has to decide whether it is in the public interest to seek a disqualification order against a director. Examples of the most commonly reported conduct are: -
  • Continuing the company's trading when the company was insolvent;
  • Failing to keep proper accounting records;
  • Failing to prepare and file accounts or make returns to Companies House; and
  • Failing to send in returns or pay to the Crown any tax that is due.

In the event that you no longer wish to maintain your company to a level which complies with the statutory requirements, you must formally file for the dissolution of your company at Companies House.

If your company has been dissolved by Companies House, and there are assets or monies in the company's name, you will need to take the prompt action to have the company restored to the Register. On dissolution of the company, any assets remaining in its name passed to the Crown. Therefore the company's members and directors must not attempt to use any of its assets e.g. a company bank account.

Some unprofessional advisors may suggest you to register a new company with the same name and the same registered office address to avoid the restoration process. Such sort of advice is incompetent and cannot be taken upon your consideration, because the formation of a new UK limited company with the same name as the struck off or dissolved company is not an alternative to restoration of a company to the Companies Register. It will be a different company, a new company formation is exactly that a new company registration, and the assets of the previously dissolved company will remain beyond your reach unless the proper procedures are followed for restoration to the Register at Companies House.

In addition to penalties and fines imposed by Companies House for late or unfilled annual reports, HM Revenue and Customs service levies fines and penalties if a company's annual returns are not submitted on time. Returns must be filed and all penalties paid regardless of the status of your company. If you close your company, you will still be liable to pay any outstanding tax, fees, and penalties to HM Revenue and Customs office. Administrative Restoration: Restore a Company Back to Companies House

 
The Registrar of the Companies can strike off a company if the Company Registrar has reasonable cause to do so under the Companies Act. A company can be defunct if annual return and accounts are not filed on time, alternatively, a company may be struck off the Companies Register on an application for voluntary striking off signed by directors. In the first case there's a strike off procedure: -
  • Sending a series of warnings to the company's registered office;
  • If there is not reply then a notice will be published in the London Gazette for three months;
  • Finally the name of the company will be struck off the Companies Register and the company will be dissolved.

How to Restore a Company Back to the RegistrarIt is common that most of the UK registered companies fail to notify Companies House of a change of the registered office address, so as a result they were being dissolved without their knowledge. Consequently the company's assets will be bona vacantia (and will belong to the Crown, the Duchy of Lancaster or the Duchy of Cornwall depending on the location of the company's registered office) and its bank account will be frozen. In order to recover its assets and continue trading the company must be restored to the Companies Register.

The company or any member or creditor may apply to the court for restoration if the company was struck off at the instigation of the Registrar of Companies. If the company was struck off on the application for voluntary striking off by the directors, any of the parties who must be notified of the application for voluntary striking off, e.g. the members, existing and prospective creditors, employees, managers or trustees of any employee pension fund and any directors who have not signed the application form for striking off, may apply to the court for restoration.

  • We need to fill a Claim Form and send it or take it on hand with the affidavit to the Royal Court;
  • They will seal the Claim Form and then post it to us back;
  • We will send the sealed Claim Form with the affidavit to Companies House;
  • The Companies House will then inform the Treasure Solicitor who acts on their behalf;
  • The Treasure Solicitor will get in touch with us asking an additional support information if its necessary;
  • We send the additional support information to Companies House and they will inform the Treasure Solicitor that they have got everything they needed from us;
  • Then the Treasure Solicitor will send us the Court Order;
  • We will need to take the Court Order to the Court and let them seal it;
  • As the last step, we send the Court Order to Companies House and wait till the company will be restored to the Registrar.

Coddan accepts all major currencies; we accept Visa, Visa Electron, Visa Purchasing, JCB, MasterCard, Maestro, Solo, and Delta, we also accept cheques (may be held 10 days to clear) or cash deposit, and bank transfers from anywhere to our bank accounts. After you place an order, details about the banking transfer will be e-mailed to you on the second e-mail notification. If you missed that e-mail, please call our phone number that is given on the order confirmation. The customer is responsible for the reimbursement of any bank wire transfer payments.

Our credit card payment processing is by WorldPay - an important part of The Royal Bank of Scotland Group, the 5th biggest banking group in the world. We do not charge surcharges for the debit and credit card transactions. Credit or debit card payment is now authorised online in real time. You will be informed immediately if your credit or debit card is declined. If declined, you may check the accuracy of the card number and expiration date, or choose a different card to try.

We need to receive a payment before we can proceed with a new company formation. For regular or corporate clients, we can open a professional credit account. However, this benefit cannot be provided to a new customer, who never placed orders with us.

If you do not feel comfortable transmitting your credit card details on the Internet, we suggest you place an order online, choose the option "Credit Card via the Phone" as the payment method, and then phone in to give us your credit card number over the phone. We will charge your credit card manually. We can also accept credit or debit card payments by fax, to do so, we will e-mail you a credit or debit card authorisation form, and you will need to print out the form, complete the details by hand and send it to us by fax to: + 44 (0) 207.504.3531.

In the event of Companies House rejecting an application or submission you will have three days to re-submit the application with appropriate corrections at no extra charge. We reserve the right to cancel the contract between us if one or more of the goods or services that you ordered were listed at an incorrect price due to a typographical error or an error in the pricing information received by us from our supplier. If we do cancel your order for this reason, we will notify you by email and will credit your account with any sum deducted by us from your credit card as soon as possible but in any event within 30 days of your order.
